Update: Ferretti Group IPO completed

With the price set at eur3 per share, the market capitalisation on the first day of trading will be approximately eur1 billion….

Now is the time. After a failed attempt in 2019,  Ferretti Group will land on the Italian Stock Exchange on Thursday 27 June. The go-ahead has arrived for the dual listing (it is already listed in Hong Kong), announcing that the offer price will be €3 per share.

In 2019, the offer price suggested by the banks was only €2 per share, below the range of between €2.5 and €3.70, and therefore not considered up to the true value of the group, according to management at the time .

This time around, the offer of €3 per share is not determined by a price range as in 2019 but is determined on the basis of the value of a single share listed on the Hong Kong Stock Exchange. It means that on the first day of trading at Piazza Affari, Ferretti's share will boast a market capitalisation of €1 billion.

The proceeds of the offer amounted to €265 million and were allocated to Ferretti International Holding. In detail, the IPO attracted interest from leading Italian and international institutional investors, which will result in an expansion and strengthening of the Company's institutional shareholder base. Two anchor investors, Danilo Iervolino and Karel Komarek, subscribed to a total of 35.4 per cent of the total number of shares in the offer, representing approximately 10 per cent of the company’s share capital.

In particular, Iervolino, in addition to already being the controlling shareholder of the publishing house BFC Media and Espresso Media, and president of the Serie A football team Salernitana, becomes the second largest shareholder of the Ferretti group after the Chinese giant Weichai Power, as well as the first Italian shareholder, surpassing the share held by a historical partner of the company: Piero Ferrari.

The first day of trading on Euronext Milan and the settlement of the Offer Shares, expected to occur on 27 June, remains subject to obtaining the necessary authorizations from Borsa Italiana, including admission to trading of the Shares on Euronext Milan.

In the context of the 0ffering, Goldman Sachs International, J.P. Morgan and UniCredit act as joint global coordinators and joint bookrunners. Equita and Berenberg act as joint bookrunners. UniCredit acts also as listing agent for the purpose of the listing.

Milan –  27 June 2023 – Borsa Italiana, part of the Euronext Group, today congratulates Ferretti Group on its listing on Euronext Milan.

For the purpose of admission to Euronext Milan, all the company’s shares were dematerialised and centralised on Euronext Securities Milan, making the instruments tradable in both Milan and Hong Kong.

Ferretti Group is a world leader in the design, construction and sale of luxury yachts and pleasure vessels, with a unique portfolio of prestigious and exclusive brands. Ferretti Group motor yachts stand out for their exceptional quality, cutting-edge technology, safety record, and optimum performance in the sea, as well as their exclusive design.

Ferretti Group represents the ninth listing since the beginning of the year on Euronext Milan and it brings the total number of firms currently listed on Euronext Milan to 226.

During the placement phase Ferretti Group raised €265 million, excluding the potential exercise of the over-allotment option. In the case of the full exercise of the over-allotment option, the total amount raised will be €292 million. Market capitalisation at admission is approximately €1 billion.

Ferretti, gruppo attivo nella progettazione, costruzione e vendita di yacht a motore e da diporto di lusso, intende quotarsi sull'Mta di Borsa Italiana, con il primo giorno di negoziazione previsto entro la fine di ottobre. La società, che ha da poco completato un'iniezione di capitale di circa 250 milioni di euro, intende raccogliere ulteriori circa 100 milioni dall'emissione e dal collocamento delle nuove azioni e prevede di utilizzare questo importo per sostenere gli obiettivi di crescita e sviluppo del gruppo.

L'offerta consisterà in una vendita primaria di azioni ordinarie di nuova emissione e in una vendita secondaria di azioni ordinarie detenute da alcuni degli azionisti esistenti di Ferretti, in un collocamento privato rivolto a investitori istituzionali fuori dagli Stati Uniti (inclusi investitori qualificati in Italia) e qualified institutional buyer in Usa. Inoltre, Ferretti offrirà nuove azioni ad alcuni dirigenti con responsabilità strategiche a uno sconto sul prezzo di offerta, in relazione alla quale è prevista anche una consueta opzione di sovrallocazione.

Nell'ambito dell'offerta, Barclays, Bnp Paribas, Mediobanca - Banca di Credito Finanziario e Ubs saranno joint global coordinators e joint bookrunners, mentre Bnp Paribas agirà anche come sponsor ai fini della quotazione.

A incoraggiare la società nel portare avanti l'operazione sono stati anche i risultati economici e finanziari del primo semestre, che hanno confermato il trend positivo di crescita: la società ha registrato ricavi pari a 332 milioni di euro ed Ebitda Adjusted di 30 milioni, con un aumento rispettivamente dell'11% e del 26% rispetto ai primi sei mesi del 2018. A partire da giugno 2019, il portafoglio ordini è salito a 653 milioni di euro, con un incremento del 19% rispetto a giugno 2018.

Italian Yacht Maker Ferretti's Shares Admitted to Euronext Milan

ROME (Reuters) - Italy's Chinese-owned luxury yacht maker Ferretti said on Tuesday its shares have been admitted to Borsa Italiana's Euronext Milan exchange.

Share trading, due to start on June 27 pending regulatory approval, is part of a dual listing, as Ferretti shares have been part of the Hong Kong Stock Exchange since last year.

Chinese conglomerate Weichai Group, through Ferretti International Holding S.p.A., currently has a 63.75% stake in the yacht maker, whose brands include Riva, Pershing and Wally.

The offer period for the Milan listing is set to commence on Wednesday and end on Thursday and will involve up to 88.5 million shares, equal to 26.1% of Ferretti's share capital.

However, if an over-allotment option is fully exercised, the total number of shares included in the offering will amount to around 28.7% of the share capital, the company said.

The over-allotment option, equivalent to 10% of the shares in the offering, is reserved for Italian bank Unicredit, which is acting as stabilisation manager on behalf of the joint global coordinators and joint bookrunners of the offering.
